Welcome to Thematic-Shift! We are an innovative entertainment platform that provides free and paid access to original films, docuseries, and exclusive member experiences. These Terms of Use ("Terms") govern your use of our digital properties—including our website (www.ThematicShift.com), our mobile and TV apps, and any affiliated services, tools, or platforms offered now or in the future (collectively, the "Platform").

By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree with any portion of these Terms, please discontinue use of the Platform immediately.

Terms & Conditions - General Use Guidelines

Thematic-Shift exists to serve a global community of creators, storytellers, and audiences. Your use of the Platform must comply with the following Acceptable Use Restrictions:

You may only access and use our Platform for lawful, personal, and non-commercial purposes (unless expressly permitted by us in writing). You agree not to misuse the Platform or use it in a way that:

  • Publishes, distributes, or disseminates content that is defamatory, harassing, obscene, hateful, violent, or discriminatory based on race, religion, gender, age, disability, or sexual orientation.

  • Promotes violence, terrorism, or self-harm.

  • Violates copyright, trademark, privacy, or any intellectual property rights.

  • Transmits viruses, malware, or any harmful software code.

  • Attempts unauthorized data scraping, mining, or reverse engineering.

  • Harasses, impersonates, or misleads others.

  • Creates derivative products or rehosts Thematic-Shift content without permission.

Technical Restrictions

Users must not:

  • Reformat or frame any part of the Platform without express permission.

  • Interfere with or disrupt servers, networks, or infrastructure.

  • Attempt to gain unauthorized access to user accounts or systems.

  • Use the Platform for benchmarking, competitive intelligence, or unauthorized performance testing.

  • Exploit the Platform for profit unless permitted under specific Thematic-Shift creator agreements.

ACCESS & DEVICE COMPATIBILITY

To access content, you will need a compatible device (mobile, smart TV, computer) and a stable internet connection. By installing Thematic-Shift apps, you acknowledge and accept that the app may auto-update to improve functionality and security.

You are solely responsible for internet fees, data usage, and hardware compatibility. Performance (including video quality and playback speed) may vary depending on your internet connection and device capabilities.

COMPLIANCE WITH LAWS

By using our Platform, you affirm that:

  • You are not located in a country or region subject to U.S. or international sanctions.

  • You are not listed on any government restricted parties list.

  • You will comply with all applicable local, state, national, and international laws.

Thematic-Shift reserves the right to restrict access to the Platform from specific geographic areas at its sole discretion.

ACCOUNTS

Registration
To use certain features, you may be required to create an account. You agree to provide accurate, complete, and current information and to promptly update it as needed.

Third-Party Logins
You may use platforms like Google, Apple, or Facebook to sign in. By doing so, you grant permission for Thematic-Shift to access basic profile data from that service, subject to the third party’s own terms and policies.

Account Responsibility
You are responsible for safeguarding your login credentials. Notify us immediately if you suspect unauthorized access. We are not liable for any losses or damages resulting from unauthorized use.

Account Termination
We reserve the right to suspend or terminate any account that violates these Terms or any applicable law. You may cancel your account by contacting support@ThematicShift.com.

CONTENT & STREAMING QUALITY

Thematic-Shift provides a variety of films and video series designed to elevate underrepresented voices and future-forward storytelling.

Video Quality
Content availability and resolution (SD, HD, UHD, or HDR) may vary depending on your internet speed and device. Recommended download speeds are:

  • SD: Minimum 0.5 Mbps

  • HD (720p+): Minimum 5.0 Mbps

  • UHD/HDR (1080p+): Minimum 25.0 Mbps

Device Compatibility
Not all devices support all features. We strive for a consistent user experience, but functionality may vary across platforms. By continuing to use the app, you agree to receive updates as they are rolled out.

VIOLATIONS & ENFORCEMENT

We reserve the right to investigate and take appropriate legal action against anyone who violates these Terms, including removing content, suspending access, terminating accounts, and reporting to law enforcement.

CHANGES TO TERMS

We may revise these Terms at any time. If significant changes are made, we will provide reasonable notice via email or in-app notification. Continued use of the Platform after such notice constitutes acceptance.

PLATFORM OWNERSHIP AND LICENSE

 

Ownership

All rights, title, and interest in and to the Thematic-Shift platform—including but not limited to all films, footage, written content, scripts, audio, illustrations, images, graphics, animations, software, and underlying code—are the exclusive property of Thematic-Shift, its licensors, and content creators who have granted rights to distribute their work through our platform. This content is protected by applicable U.S. and international copyright, trademark, trade dress, patent, and other intellectual property laws.

The overall structure and curation of the platform, including the selection, organization, and presentation of content, are protected as a collective work under copyright law and remain the sole intellectual property of Thematic-Shift.

Marks

The Thematic-Shift name, logos, design elements (such as badges, navigation icons, and original typographic treatments), and any brand-related features are trademarks, service marks, and/or trade dress of Thematic-Shift and its affiliated creative companies. These marks (collectively “Our Marks”) may not be used in any manner without prior written authorization from Thematic-Shift and parent company QuantumFlicks, LLC.

All other third-party trademarks, logos, names, or materials (“Other Marks”) featured within the platform are the property of their respective owners and may only be used with their explicit permission. Any misuse or unauthorized display of Our Marks or Other Marks is strictly prohibited.

Limited License

Upon your acceptance of these Terms, Thematic-Shift grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for personal, non-commercial use in accordance with these Terms and the intended use of the platform. This license does not transfer any ownership or intellectual property rights.

You agree not to:

  • Copy, reproduce, republish, upload, post, transmit, or distribute any part of the platform or its content without prior written consent.

  • Decompile, reverse engineer, or disassemble any part of the software or backend code.

  • Use the platform for illegal, abusive, or exploitative purposes.

Violations of these terms may result in legal action and/or termination of your account and access.

USER CONTENT AND INFORMATION

 

User Content

Thematic-Shift allows users, collaborators, and creators to post, upload, share, or otherwise submit materials to or through the platform (collectively “User Content”). This includes but is not limited to profiles, project submissions, trailers, opinions, videos, and behind-the-scenes content.

We are not responsible for the accuracy, completeness, legality, or safety of any User Content posted to the platform. Use and interaction with User Content is at your own risk.

Your Content

By submitting any User Content to Thematic-Shift, you represent and warrant that you own the content or have the necessary licenses to share it and that it does not violate any third-party rights.

You grant Thematic-Shift a worldwide, royalty-free, non-exclusive, perpetual license to use, display, modify, distribute, reproduce, and sublicense Your Content in connection with our services, marketing, platform enhancements, or future productions. This license continues even after you stop using the platform or delete your account.

You acknowledge that:

  • Your Content may be visible to other users.

  • Thematic-Shift may screen, remove, or modify content at its discretion without notice.

  • You will not upload or post any content that is defamatory, illegal, or violates community standards.

Private Messages

Private messaging features, if provided, are not considered User Content. While we make reasonable efforts to maintain privacy, you understand that any digital communication carries risks. Messages may be misdirected, intercepted, or forwarded, and Thematic-Shift cannot guarantee the confidentiality of any message sent via the platform.

Respect and Conduct

Abusive, threatening, or defamatory behavior toward other users, Thematic-Shift staff, or creators is strictly prohibited. Any untrue, malicious, or misleading public commentary about Thematic-Shift, its affiliates, or its productions may result in legal consequences and revocation of platform access.

PERSONAL INFORMATION AND COMMUNICATION

Privacy & Data Usage

By using the Thematic-Shift platform, you consent to the collection, use, and sharing of your personal data as outlined in our Privacy Policy. If you do not agree with our data practices, please discontinue use of the platform.

 

We do not sell personal information. We may share data with third-party services to improve functionality, analytics, advertising, and user experience. You retain the right to opt out of certain data uses, subject to applicable law.

Text and Voice Communication

From time to time, you may opt in to receive promotional texts, voice calls, or other messages (“Thematic-Shift Communications”) from us. By doing so, you agree that:

  • You have the right to provide the contact number used.

  • Message and data rates may apply.

  • You may withdraw your consent at any time by replying STOP or contacting us at support@ThematicShift.com.

 

You may reply HELP for assistance regarding any promotional communication you receive.

FEEDBACK AND SUGGESTIONS

Thematic-Shift, you agree that:

  • Your Innovations do not contain confidential or proprietary material.

  • Thematic-Shift has no obligation to compensate you.

  • We may use, reproduce, or develop upon your ideas without restriction.

  • Any rights not protected by an active patent are automatically waived upon submission.

 

You waive any claim against Thematic-Shift for use of similar or identical ideas independently developed by the company or its affiliates.

THIRD-PARTY LINKS

Thematic-Shift may include links to other websites, social media accounts, or services as a convenience. These links do not constitute endorsement or affiliation. We are not responsible for the content, accuracy, or functionality of any third-party sites or services. Your use of those sites is entirely at your own risk.

Technical Restrictions

Users must not:

USE OF OLDER APPLICATION VERSIONS

Updates and Security

Thematic-Shift periodically updates its web, mobile, and smart TV applications to strengthen user privacy and system security. Users are strongly encouraged to keep all applications updated to the latest version.

Continued Use of Older Versions

If you choose to use outdated versions of the Thematic-Shift app, you acknowledge that:

  • You may not benefit from the most current privacy protections.

 

TERMINATION

 

Right to Terminate
Subject to the terms set forth in the applicable Agreements, in addition to and not in lieu of any other rights set forth herein, Thematic-Shift and QuantumFlicks LLC (“Thematic-Shift,” “we,” “us,” or “our”) reserves the right, with or without notice and in our sole discretion, to terminate these Terms, your account, and/or your ability to access or use our Platform for any reason. This includes, without limitation, lack of use, violation of the letter or spirit of these Terms, or activities deemed potentially harmful to us or others, including fraud, abuse of privileges, or misuse of the Platform.
You agree that Thematic-Shift shall not be liable to you or any third party for any such termination.

You may also terminate your use of our Services, your Thematic-Shift Founder Membership, contributions at any time without penalty.

Effects of Termination
If we terminate your access, your license to access and use the Platform immediately ends, and you must discontinue all use of Thematic-Shift’ Services.


If you choose to terminate, recurring charges related to Founder Membership will cease, and associated membership perks or benefits will no longer be fulfilled. However, you may continue to access any applicable free version of our Service.

 

Fraudulent Activity
Suspected fraudulent, abusive, or unlawful activity may be reported to relevant law enforcement authorities.

​

Survival
Any provisions that by nature should survive termination shall do so, including those regarding indemnity, limitations of liability, intellectual property, and dispute resolution.

DISCLAIMERS

Platform Provided “As Is”


Thematic-Shift provides its Platform and Services on an “AS IS” and “AS AVAILABLE” basis, with no warranties of any kind, either express or implied.


This includes but is not limited to:

  • Implied warranties of merchantability, title, fitness for a particular purpose, and non-infringement

  • The absence of bugs, viruses, malware, or other potentially harmful components

  • Any continuous or uninterrupted availability or performance of the Platform

 

Use at Your Own Risk
You agree that your access to and use of the Platform, downloads, and interactions with any features are at your own sole risk.

Device Responsibility
QuantumFlicks does not guarantee compatibility with any device you use. Device issues should be directed to your device’s manufacturer or seller.

​

Third-Party Content
Opinions, advice, or statements by anyone other than an authorized Thematic-Shift representative are not endorsed by Thematic-Shift.

PERKS

In connection with your Thematic-Shift Membership, you may be eligible for select perks as listed on specific project pages. These perks may include:

​

  • Early access to films or web series

  • On-screen credit in select productions

  • Invitations to live tapings, red carpets, or behind-the-scenes access

  • Signed scripts, memorabilia, or exclusive merchandise

 

While Thematic-Shift may help facilitate delivery, individual projects may ultimately control perk redemption.

CONDITIONS FOR PARTICIPATION

To participate in Oder/Membership Program:

  • You must create a Thematic-Shift user account

  • You must agree to these Terms, our Privacy Policy, and any Program-Specific Terms

  • You must remain in good standing and not violate applicable Agreements

INDEMNIFICATION

You agree to indemnify and hold harmless Thematic-Shift and its affiliates, officers, directors, agents, employees, and representatives from any losses, claims, demands, or liabilities (including attorney’s fees) resulting from:

  • Your use or misuse of the Platform

  • Breaches of these Terms

  • Redemption of perks or conduct on-site at an affiliated production

  • Your violation of third-party rights, including intellectual property

LIMITATION OF LIABILITY

Maximum Liability
To the maximum extent allowed by law, our total liability to you for any claims related to the Platform shall not exceed $100 USD.

No Incidental Damages
Thematic-Shift shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of data, loss of goodwill, or lost profits, even if we have been advised of the possibility of such damages.

 

Applicability
Some jurisdictions do not allow exclusion of certain liabilities. In such cases, our liability will be limited to the extent permitted by applicable law.

 

California Residents
If you are a California resident, you waive California Civil Code § 1542:

"A general release does not extend to claims which the creditor does not know or suspect to exist in their favor at the time of executing the release..."

REFUND POLICY

We value transparency. Please review the following refund terms:

​

  • No Refunds: All Membership fees, digital collectibles, tickets, and downloadable content are non-refundable.

  • Damaged Goods: If a physical product arrives damaged or defective, contact our customer support within 15 days of receipt, with photographic evidence.

  • Returns & Exceptions: All returns are subject to case-by-case approval and must be in resalable condition.

  • Return Shipping: Customers are responsible for return shipping costs unless otherwise specified.

  • Cancellations: Orders may not be canceled once processed or shipped. Please verify all details before finalizing your purchase.

CHOICE OF LAW & DISPUTE RESOLUTION

These Terms shall be governed by the laws of the State of New York, without regard to conflict-of-law principles. Any disputes shall be exclusively handled in the state or federal courts of New York County, NY.


No Class Actions
You waive any right to bring or join a class action related to any dispute involving the Platform, Programs, or Terms.

OTHER LEGAL PROVISIONS

  • Survival: All terms that are meant to survive termination will remain in effect.

  • No Waiver: Our failure to enforce any right does not waive our ability to do so in the future.

  • Amendments: We may update or modify these Terms at any time. Continued use of the Platform constitutes acceptance of any changes.

  • Headings: Headings are for organizational purposes only and do not affect the meaning of the Terms.

 

  • Certain data, including personally identifiable information and video viewing activity, may be shared with marketing or analytics partners in accordance with our Privacy Policy.

Thematic-Shift is not responsible for any unauthorized data access arising from the use of outdated app versions. Always update for the most secure experience.

DISPUTE RESOLUTION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

 

Waiver of Rights

BY ACCESSING OR USING OUR SERVICES, OR BECOMING A MEMBER OR SUBSCRIBER, YOU AGREE TO WAIVE ANY RIGHT TO A COURT OR JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION. CLAIMS AGAINST Thematic-Shift AND ITS AFFILIATED PARTIES MUST BE BROUGHT INDIVIDUALLY — NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, REPRESENTATIVE, OR COLLECTIVE PROCEEDING. ARBITRATION WILL TAKE PLACE INDIVIDUALLY. CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED.

 

Agreement to Arbitrate

YOU AGREE THAT ANY CLAIM OR DISPUTE RELATING TO THESE TERMS, YOUR ACCESS TO OR USE OF OUR PLATFORM, YOUR MEMBERSHIP, SUBSCRIPTION, OR ANY DEALINGS WITH Thematic-Shift OR ITS AFFILIATES SHALL BE RESOLVED THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION.

THIS ARBITRATION AGREEMENT IS GOVERNED BY THE FEDERAL ARBITRATION ACT (9 U.S.C. §§ 1-16) AND WILL BE BROADLY INTERPRETED.

 

ARBITRATION WILL FOLLOW THE RULES OF THE AMERICAN ARBITRATION ASSOCIATION (“AAA”), INCLUDING THE SUPPLEMENTARY PROCEDURES FOR CONSUMER-RELATED DISPUTES, AS MODIFIED HERE.

  • In small claims or other qualifying disputes, arbitration may occur via telephone, online, or written submission. A face-to-face hearing may be requested and will take place in a location reasonably convenient for both parties.

  • The arbitrator must adhere to these terms and provide a fundamentally fair process. Discovery will be limited to essential matters as determined by the arbitrator.

  • The arbitrator may grant remedies allowed under applicable law (governed by the laws of New York).

  • Proceedings will be conducted confidentially and expeditiously.

  • If you cannot afford the AAA fee, you must notify us to give us the opportunity to cover it.

 

Arbitrators may only award declaratory or injunctive relief on an individual basis. Their decision is binding and may be enforced in any court of competent jurisdiction.

Except where you choose to opt out (see below), this Arbitration Agreement survives termination of these Terms or your use of the services.

All challenges to the validity or scope of this Arbitration Agreement will be decided by the arbitrator.

Opt-Out of Arbitration

To opt out of arbitration, you must send a signed written notice stating “Request to Opt-Out of Arbitration” within 45 days of June 15th, 2025 or your first use of our services (whichever is later) to:

Venue for Litigation

If arbitration is deemed unenforceable or inapplicable, or if you opt out, legal proceedings must be brought exclusively in New York County, New York. You agree to submit to personal jurisdiction in these courts and waive any right to a jury trial or class action. You also remain bound by the limitations of liability herein.

Time Limit for Claims

Any legal or arbitration claim must be initiated within two (2) years of the event giving rise to the claim, or it will be permanently barred.

COPYRIGHT INFRINGEMENT POLICY

Thematic-Shift respects the intellectual property rights of others. If you believe your copyrighted work has been infringed, please notify us pursuant to the Digital Millennium Copyright Act (DMCA).

How to Send a Copyright Complaint

Your notice must include:

  1. Your physical or electronic signature.

  2. Identification of the copyrighted work you believe was infringed.

  3. Identification of the allegedly infringing material and where it appears.

  4. Your contact information.

  5. A statement of good faith belief the use is not authorized.

  6. A statement, under penalty of perjury, that the information is accurate and you are the copyright owner or authorized agent.

Counter Notification

If your content was removed and you believe it was done in error, you may file a counter-notification including:

  1. Your contact information.

  2. Identification of the removed material and its prior location.

  3. A statement, under penalty of perjury, of good faith belief the removal was a mistake.

  4. Consent to the jurisdiction of the Federal District Court in your location (or, if outside the U.S., New York County).

  5. Your signature.

We may restore the content within ten (10) business days unless the original complainant files a lawsuit.

ADDITIONAL TERMS

Movie Ticket Purchases
All ticket purchases made through Thematic-Shift are governed by additional terms, presented during checkout. By completing a purchase, you agree to be bound by those specific terms.

 

Governing Law
These Terms are governed by the laws of New York, without regard to conflict of laws.

 

Electronic Communications
You agree to receive communications from us electronically. These communications satisfy any legal requirement that they be in writing.

 

Severability
If any part of these Terms is found invalid or unenforceable, the remainder will remain in full force and effect.

 

Waivers
Our failure to enforce any part of these Terms is not a waiver of our right to later enforce that part or any other provision.

 

Admissibility
A printed or digital version of these Terms is admissible in legal proceedings to the same extent as a printed business record.

 

Assignment
QuantumFlicks may assign these Terms to a third party without notice. You may not assign your rights or obligations without our prior written consent.

 

Headings
Headings in these Terms are for convenience and do not affect the legal meaning of the terms.
